We retain the right to update the Terms of Service at any time. 1. Social Network
Our social network (Shanghai Zoom) provides residents in Shanghai (especially expatriates) the opportunity to create a profile and network with others in the city. This network also provides other services such as events, blogs, pages, classified, forums, and more to future enhance the customer experience.
By agreeing with the Terms of Condition, you must comply with all applicable domestic and international laws, statues, ordinances and regulations regarding the use of Shanghai Zoom. This includes any involvement or participation in events hosted by Shanghai Zoom and the submission of “Public Information” (as defined in Section 3.1). You also agree to comply with all applicable laws, statues, ordinances and regulations regarding the transmission of technical data exported from China or the country in which you reside.
2. Membership
2.1 Account. After completion of registration and e-mail verification, you will have access to Shanghaizoom.com. Henceforth you are fully responsible for all liability and damages resulting from your account. You agree to immediately notify us of any unauthorized breach of your account. You agree that Shanghai Zoom cannot and will not be liable for any loss or damages arising from your account.
2.2 Account Termination. We retain the sole discretion to suspend or terminate any account from use of Shanghaizoom.com and refuse any and all future use of any and all portions of Shanghaizoom.
3. Your Information
3.1 Definition. “Your Information” is defined as any information post or other materials provided on: your profile, walls, forums, events, blogs, pages, and other places that are present on Shanghaizoom.com. This includes information during registration, information on your profile, posts on yours and others walls, posts on forums, event information and posts on events, blog entries, page entries, and other information posts on Shanghaizoom.com. You are solely responsible for Your Information and we act only as a platform in which this information is being distributed and published.
Any information that you make accessible by “Everyone” will become “Public Information” on our site. This by default includes your Username and Your Name. Other information that you choose to make public through your privacy setting will be considered Public Information. 4.2 Grounds of Removal, Sanction and/or Suspension. Notwithstanding any other provision of this Agreement, the following types of actions can be a cause of immediate removal, suspension, or termination of your account:
a) Participating in frequent disputes with other members or administrators;
b) Posts that promote or encourage sexism, racism or racist stereotyping; or that attack an individual or group based on things such as religious belief or sexual orientation;
c) Posts that encourage illegal activity;
d) Posts that are blatant, violent, offensive, or pornographic;
e) Posts that include links to racist or pornographic websites or sites that promote any illegal activity;
f) Violation (intentional or unintentional) of this Agreement, or of any applicable local, city, national, or international law, statue ordinance or regulation;
g) Harassment;
______i. Unsolicited words or conduct that tend to annoy, alarm, abuse, disturb, offend another individual;
______ii. A course of conduct directed at a specific person that causes substantial emotional distress in such person and/or serves no ______legitimate purpose;
______iii. A course of vexatious comment or conduct that is known or ought reasonably to be known to be unwelcome;
______iv. The act of tormenting by continued persistent attacks and criticism.
h) Spamming;
______v. Multiple, unauthorized advertising posts within one or more forums, classified sections, or on member’s wall;
______vi. The practice of sending copies of the same or materially similar post to more than one section of the forum, member’s wall or via ______the site’s messaging system.
i) Posting anything that infringes the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party;
j) Posting personal information (e.g., home or business address, phone number, mobile number, E-mail address, etc.) of any other members without such person's express written consent to do so;
k) Posting identifiable photos or other likenesses of any members without the subject's express written consent to do so;
l) Posting attachments or graphics files that significantly impede the operation of the site or slow down page loads unreasonably;
m) Improperly-placed advertisements;
n) Repeated improper placement of postings into the wrong section with what is deemed by the administrator as intent to attract more readers;
o) Interference with site operations or the actions of Administrators or other Shanghaizoom.com staff including, but limited to, harassing site Administrators or other Shanghaizoom.com staff for actions taken in the line of duty or inciting others to violate the TOS;
p) The use of a screen-name that would generally be considered vulgar or offensive or is otherwise deemed inappropriate by Shanghaizoom.com;
q) Use of similar screen names, avatars or file attachments within the body of a post to parody the identity of real people in a derogatory or defamatory manner;
r) Encouraging others to violate this Agreement;
s) Refusing to follow Shanghaizoom.com administrators instructions or directions;
t) Disclosure of the Private Information of any member of Shanghai Zoom without the permission of that member;
u) Any other conducts that, in the sole discretion of Shanghaizoom.com administrators:
______i. Reflect negatively on the community impression of the site;
______ii. Create a negative reaction among a significant number of other site members;
______iii. Tend to harm, damage, or in any way adversely affect the reputation of Shanghaizoom.com;
______iv. Expose or tend to expose Shanghaizoom.com to potential liability for violation of any governmental or official agency law, ______regulation, ruling, instruction, or known or reasonable ascertainable expectation of conduct; or
______v. Does not conform to the norms of community behavior.
Shanghai Zoom reserves the right to remove any post or other material that we deem inappropriate without warning or further notice. While we prohibit these conducts listed above, you understand and agree that you will nonetheless be exposed to such conduct and content on Shanghaizoom. You will be using Shanghaizoom.com at your own risk and discretion.
For the purpose of this Agreement, “posting” can include but is not limited to: posting, uploading, e-mailing, sending or otherwise making available any information. You also agree that we will have no responsibility or liability in the storage or the deletion of any of Your Information.

Any links to other website our sources found or provided on Shanghaizoom.com we have no control over. You acknowledge and agree that we are not responsible for the availability of such websites or resources, and do not endorse and are not responsible or liable for anything found on these websites or sources. You also acknowledge and agree that Shanghai Zoom shall not be liable for any loss or damage of any sort incurred as the result of any such links or websites that are located through Shanghaizoom.com.
7. Dealings with Third Parties
Your correspondence or business dealings with third parties through the classified or other sections of Shanghaizoom.com are solely between you and the third party. You agree that Shanghai Zoom shall not be responsible or liable for any loss or damaged of any sort incurred as the result of such dealing on our website or located through our website.
8. Indemnity
You agree to indemnify and hold administrators, staff, and owners of Shanghai Zoom harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of your representations and warranties or this Agreement or the documents it incorporates by reference, your use of Shanghaizoom.com, Your Information, your violation of any law, statue, ordinance or regulation or the rights of a third party, or your participation in any Shanghai Zoom events.

You agree that Shanghai Zoom will not be liable for any direct, indirect, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use or other intangible loss, from out of or in connection with Shanghaizoom.com or this Agreement or the inability to use Shanghaizoom.com.
10. Disputes
10.1 Definition.
______a. The act of calling into arguing someone's thoughts, beliefs, and parentage simply because you don't agree with them;
______b. The act of posting confrontational, abusive, insulting, derogatory, abusive or inflammatory representations about another person, ______site member or administrator;
______c. The act of sending a confrontational or abusive message contains angry, and possibly insulting or vulgar, content. See also ______"Harassment."
10.2 Process. Any dispute either on the walls, post, events, or pages is to be settled immediately. Shanghai Zoom administrators can step in at any time to moderate the dispute. Also Shanghai Zoom Administrators can delete the posts and dispute. Finally, Shanghai Zoom Administrators can exercise their right to remove, suspend or terminate an account because of a dispute.
11. Modifications
We reserve the right at any time or times to modify or discontinue, temporarily or permanently, all or any portion of Shanghaizoom.com with our without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension or termination of Shanghaizoom.com.
